1. Who we are
Fintrix provides payment orchestration software that helps merchants connect processors, manage network tokens and subscriptions, and operate acceptance, routing, and reporting workflows. Unless a signed order form or master agreement states otherwise, Fintrix acts as a technology provider and does not itself become your merchant of record or your acquirer.
2. Account and eligibility
You must be legally able to enter a binding contract and complete any onboarding, KYC/KYB, and compliance checks we or our partners require. You are responsible for keeping credentials, API keys, and user permissions secure, and for all activity under your account.
3. The Services
Depending on your plan, Services may include payment links, hosted checkout, APIs and plugins, token management, intelligent subscriptions, 3DS orchestration, routing/failover tools, and reconciliation or cost reporting.
Card networks, banks, acquirers, and alternative payment providers remain independent parties. Their rules, fees, approval rates, and outages are outside Fintrix’s exclusive control, even when our platform helps you integrate or orchestrate them.
4. Your responsibilities
- Comply with applicable law, card-scheme rules, and acquirer requirements (including PCI DSS where you handle card data).
- Provide accurate business information and keep product and use-case disclosures up to date.
- Obtain all required customer consents for payments, recurring charges, and use of tokens or stored credentials.
- Not use the Services for prohibited merchants, sanction violations, fraud, money laundering, or other illegal activity.
5. Fees and taxes
You agree to pay fees set out in your order form, rate card, or dashboard pricing. Unless stated otherwise, fees exclude taxes and third-party processor charges. Overdue amounts may lead to suspension after notice. You are responsible for taxes associated with your purchases of the Services.
6. Data and security
Our collection and use of personal data is described in the Privacy Policy. You remain controller (or equivalent) of customer payment and merchant data you process through the Services, except to the limited extent we act as a processor or service provider under a data processing arrangement. You will not submit regulated data except as supported by the product and documented integration methods.
7. Intellectual property
Fintrix and its licensors own the Services, software, documentation, and branding. Subject to these Terms and full payment of fees, we grant you a limited, non-exclusive, non-transferable right to use the Services for your internal business operations during the subscription term. You may not reverse engineer, resell, or create a competing product from the Services except as allowed by law.
8. Confidentiality
Each party will protect the other’s non-public business, technical, and commercial information with reasonable care and use it only to perform under these Terms, except where disclosure is required by law or already public through no fault of the receiving party.
9. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINTRIX DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee uninterrupted service, approval of every transaction, or results from any particular processor, routing rule, or 3DS configuration.
10. Limitation of liability
To the maximum extent permitted by law, Fintrix will not be liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, revenue, or data. Our aggregate liability arising out of the Services in any twelve-month period will not exceed the fees you paid to Fintrix for the Services giving rise to the claim in that period (or USD 100 if no fees were paid). Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the fullest extent allowed.
11. Indemnity
You will defend and indemnify Fintrix against claims arising from your products, customer disputes, chargebacks, misuse of the Services, or violation of law or third-party rights, except to the extent caused by Fintrix’s willful misconduct.
12. Suspension and termination
We may suspend or terminate access for material breach, non-payment, security risk, legal requirement, or prohibited use, with notice where reasonably practicable. You may stop using the Services at any time under your plan’s termination terms. Sections that by nature should survive (fees owed, IP, confidentiality, liability limits) will survive termination.
13. Changes
We may update these Terms by posting a revised version on this page and updating the “Last updated” date. Material changes will be communicated by reasonable means (for example email or dashboard notice). Continued use after the effective date constitutes acceptance of the updated Terms.
14. Governing law
Unless a separate written agreement specifies otherwise, these Terms are governed by the laws of Hong Kong SAR, without regard to conflict-of-law rules. Courts in Hong Kong have exclusive jurisdiction, subject to mandatory consumer protections where they apply.
